Some boards use governing documents to restrict their activities and think small, and some don’t pay attention to them at all. But the Board that embraces and optimizes its governing documents is in a better position to carry out its mission. We will identify and examine several key governing documents, spending focused time on bylaws (which is most often where problems start). Participants will learn whether and how to tweak, overhaul, or create bylaws to maximize their benefit to the organization. As policies are a natural extension of the bylaws, we will also identify key policies that support good bylaws. In the end, participants should see governing documents as strategic enablers of instead of annoying constrainers.

Canada’s Anti-Spam Law (CASL), passed in 2010 and expected to come into effect in 2013, is described as the most comprehensive anti-spam law in the world. There’s no question it will place significant obligations on any organization that communicates and markets electronically. The anti-spam rules will require express, opt-in consent from recipients and is stricter than existing requirements under Canada’s privacy law, Personal Information Protection and Electronic Documents Act (PIPEDA), which generally permits opt-out consent for marketing messages and allows for reliance on implied consent in broader circumstances than does CASL.
